Agreement to Terms
These Terms of Use (the “Terms”) constitute a legally binding agreement made between Hakiro Media UG (haftungsbeschränkt), Mühlenstr. 8a, 14167 Berlin (“Hakiro Media”) and you (“You”; “User”) concerning your access to and use of the “Goodsouls” mobile application (the “App”) and any part of our website, www.goodsoulsapp.com (the “Website”), including our newsletter, and any of our other website content and services (all together the “Services”).
Please read these Terms carefully before downloading the App and/or accessing the Services. You agree that by downloading the App and/or accessing the Services, you have read, understood, and agreed to be bound by all of these Terms. You are prohibited from using the App and/or Services if you don’t agree with all of these Terms.
These Terms replace all previous contracts between the parties concerning the App and/or the Services. In addition to these Terms, the Terms and Conditions for the distribution platform used to download the App (e.g., the Apple App Store, Google Play, etc.) apply. In case of contradictions, the provisions of these Terms have prevalence.
Updating these Terms
We reserve the right to make changes or modifications to these Terms at any time and for any reason, to ensure that they accurately reflect our service and policies. We will alert you about any changes by updating the "Last updated" date of these Terms. You waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms. If you continue to use the App and/or Services after the Terms have been updated, you will be bound by the updated Terms.
The Goodsouls App and Services
The subject of this agreement is your access to and free or paid use of our App and/or Services. The source code of the App is not the subject of this agreement. The system requirements for the current version of the App can be found in the product description of this App in the respective App Store. The App and Services are provided free of charge. From time to time we might publish updates of the App free of charge in the respective App Store. Updates may change e.g. functions and/or the look of the App. Not installing such updates or opting out of automatic updates may cause you not to be able to continue using the App and/or the Services. The system requirements can be found in the product and update description in the corresponding App Store. These Terms apply correspondingly to all updates. The products, foods, drinks, and services recommended in the App and the Services must be purchased separately and at your own expense.
User requirements, commitments and duties
The App and/or Services are intended for users who are at least 16 years of age. For users who are not at least 16 years old, the consent of their parents is required according to Art. 8 para. 1 sentence 2 GDPR. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the App and/or Services. If you are a minor, you must have your parent or guardian read and agree to these Terms prior to you using the App and/or Services. You may use the App and/or Services for your private purposes only. Commercial or business use is prohibited. You must update the operating system of your smartphone when such an update becomes available to make sure you can use the Goodsouls App without any problems. Before using a recommended product or consuming a food, drink, or supplement mentioned in the App and/or Services, you must independently check whether the ingredients contained therein can cause intolerance, allergies, or any other issues. If so, you should not use or consume such products, food, drink, or supplement.
Registration / User Accounts
In order for you to be able to use the App, you have to register free of charge after downloading the App. You are obliged to fill out the registration form completely and truthfully. Each registration is for a single user only. You must keep your registration details confidential. If you think that another person may have access to, or be using, your registration details, you are obliged to inform us immediately. You must update data required for registration/login immediately if it changes to ensure smooth use. If alternative methods for registration were used (e.g. Sign up with Apple), this obligation applies accordingly to the data stored in those user profiles. Your email address will not be displayed to other users of the App or published elsewhere.
Prohibited Activities
As a user of the App and/or Services you agree not to Use the App and/or Services in a manner inconsistent with how they are intended to be used (to provide recipes, information about nutrition, health, lifestyle, and inspiration for meals, drinks, and lifestyle choices). Reverse engineer, decipher, or decompile the App and/or Services to try to find out the source code. Access the App’s server to query recipes. Use the App or Services to advertise or offer to sell goods and services. Use our support services improperly or submit false reports of abuse or misconduct. Engage in any automated use of the App and/or Services, such as using scripts to send comments or replies, or using tools for data mining, data gathering, and extraction. Copy, adapt, or use the App and/or Services to compete with us in any way. Upload or transmit viruses or other material, including excessive use of the comment function, that interferes with the uninterrupted use of the App and/or Services.
Comment Function
When you leave a comment or reply to a comment, all registered users will be able to see your name and all of the content you submit. You are not allowed to add comments that violate applicable laws, copyrights, personality rights of third parties, or the Goodsouls Community Netiquette. We are not able to check all comments. We do, however, reserve the right to delete comments that violate these Terms or are not suitable for the context of the App (food, nutrition, cooking, health).
Goodsouls Community Netiquette
Avoid sarcasm and irony, as those can be difficult to understand in written communication. Be tolerant and polite and always treat other users and Goodsouls staff respectfully. Insults, personal attacks, and inappropriate language are not allowed. There is no place for sexism, racism, and extreme political or religious views. Don’t make fun of other users and respect their opinions. All forms of spam and inappropriate advertising are forbidden.
Third party content
We are not liable or responsible for any third party content mentioned within the App and/or Services. Third party content includes, for example, links to external websites and comments posted by users.
Warranty and Liability
The paid and unpaid use of the Goodsouls App and/or Services are expressly at your own risk. We expressly point out that our recipes and advice is only suitable for people who are in good general health. It’s advisable to consult a doctor before consuming foods we recommend or following any of our advice, especially in case you are pregnant, breastfeeding, or have medical conditions (psychological or physiological) or other health problems of any kind. The use of the App and/or Services does not replace any medical or therapeutic advice or treatment and all recommendations should, if necessary, be clarified with the treating doctor or specialist before following them. In the event that discomfort, allergies, or similar symptoms occur after following any of our recommendations or consuming a food, drink, or supplement mentioned in the App and/or Services, a doctor should be consulted immediately. Health and nutritional knowledge is constantly evolving. We try our best to base our suggestions on current research and findings and in compliance with accepted nutritional science knowledge and principles (for example, based on the standards of the DGE (German Nutrition Society) in its current version), however we do not make warranties or guarantees that such information corresponds to the current state of research, is complete, or accurate. Rather, they are self-generated concepts. Under no circumstances shall we be liable for any damages resulting directly or indirectly from any aspect of your use of the App and/or Services. We strive to ensure the full functionality of the Goodsouls App and Services at all times, however we do not guarantee uninterrupted accessibility. We are not liable for damages caused by using the App with software and/or hardware that differs from system requirements.
Limitations to the App and the Services
The App and Services provide general information and do not offer medical advice. You are responsible to determine whether you should follow advice that can be found within the App and/or Services and consult a doctor or specialist before taking, or refraining from, any action on the basis of information obtained from the App and/or the Services.
Intellectual Property Rights
All texts, images and other works created by us and distributed within the App and/or Services are protected by copyright. You have no intellectual property rights in the App and/or Services. You solely have the right to use the App and/or Services in accordance with these Terms.
Final provisions
These Terms are subject to German law to the exclusion of the UN Convention on Contracts for the International Sale of Goods. The contract is concluded in English. Goodsouls does not store the text of the contract. The Terms can be retrieved at any time at www.goodsoulsapp.com/terms-of-use. The place of jurisdiction is Berlin, Germany. Oral ancillary agreements to the contract do not exist at the time of the conclusion of the contract and, insofar as subsequently desired, require the written form in order to be effective. We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board. Should individual provisions of this contract be or become legally invalid, this shall not affect the validity of the entire contract. They shall then be interpreted in good faith or supplemented or replaced by any new legal provisions.
